Legal
We can’t guarantee that our work will be error-free and so we can’t be liable to you or any third-party for damages, including lost profits, lost savings or other incidental, consequential or special damages, even if you’ve advised us of them. If any provision of this contract shall be unlawful, void, or for any reason, unenforceable, then that provision shall be deemed severable from this contract and shall now affect the validity and enforceability of any remaining provisions.
Copyrights
You guarantee that all elements of text, images, graphics, video, or other artwork you provide are either owned by you or that you have permission to use them.
When payment for our services has cleared, copyright will be automatically assigned as follows:
- You will own the visual elements that we created for your project. We will give you the source files and finished files for your safe keeping. We are not required to retain a copy. You own elements of text, images, and data you provided unless someone else owns them.
- You will own the technology assembled to produce your project, but we reserve the right to re-use any and all technical features created by us unless this was explicitly prevented prior to development.
- You will own all web property associated with your project, including domain names, files, images, text, SSL certificates. Any accounts that we have set up for you can be transferred to you upon your request and will never be held hostage from you.
- We reserve the right, with your permission, to display and link to your project as part of our portfolio of projects, and to write about it on websites, articles, and books.
The information provided to you in this proposal is for your eyes only. In return for our goodwill, we expect that you will not share the details of our processes with our competitors.
Acceptance of This Proposal
By accepting this proposal, your business or organization enters into a contract with us. The goal of this proposal is to plainly communicate what you can expect of us. It’s important that we have this written down so that we’re all on the same page, in terms of our expectations. It’s important that we have this document to look back to, in the case that something goes wrong.
What We’re Agreeing To
You, the Client
By agreeing to this contract:
- You are confirming that you have the authority to enter into a contract on behalf of your business or organization;
- You will provide us with all the resources we need in order to complete work – this can include things like login credentials, graphics, videos, etc.;
- You will review our work and provide feedback and approval in a timely manner;
- You will stick to the payment schedule laid out at the end of this proposal.
Us, the Vendor
By agreeing to this contract:
- We are able to do everything we’ve agreed to;
- We will deliver the project in a timely and professional manner;
- We will endeavour to meet every deadline;
- We will maintain the confidentiality of everything you give us.
Hosting
If you choose a care plan where we manage your project for you on an ongoing basis after development, we will provide hosting for your project on one of our preferred hosts.
There may be times when the server is down, either due to scheduled or unscheduled maintenance. Scheduled maintenance occurs when have planned ahead of time to upgrade or make changes to a server at a set time. Whenever this occurs, we will inform you ahead of time. We always strive to perform such maintenance outside of higher web traffic hours for our timezone.
Like all internet-connected businesses, there may be times where an unforeseen server issue causes downtime on the affected server. If this ever occurs, we will do our utmost best to get the server back up and running as fast as possible.
While rare, there may even be times when the web host occurs unforeseen downtime. In this situation, our web host will do their best to resolve the issue as fast as possible.
Ending Our Work Together
If you decide at any point to end our work together, you agree to pay us in full for all work we’ve produced up to that point of cancelling the contract.
If you are subscribed to our monthly care plans, we require 31 days notice to end the billing cycle.
Upon dissolution of the contract, you can either request for access to your cPanel for no extra charge, or we can provide a full archive of your project for a fee of $100.00 plus applicable taxes. This covers the time it takes us to perform these tasks for you.
